Welcome to LuxeLingua, an online English as a Second Language (ESL) site designed for adult learners. By accessing or using our website, services, or materials (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree with any part of these Terms, you must not use the Service. LuxeLingua reserves the right to update or modify these Terms at any time, and such changes will be effective upon posting to the website. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.

1. Acceptance of Terms

By creating an account, enrolling in a course, or otherwise using the Service provided by LuxeLingua, you confirm that you are at least 18 years of age and agree to comply with these Terms. These Terms govern your access to and use of the Service, including all content, materials, and interactions facilitated through the LuxeLingua platform. You also acknowledge that before the 1st day of each month begins, the website will be down to take down the previous month's material and upload new monthly material, and you will be returned to usage again at the earliest time possible, barring any unforeseen technical or other unforeseen events. You further acknowledge and agree that LuxeLingua has the right to make changes to the website as necessary, which may result in temporary outages of service, either by LuxeLingua or other entities that LuxeLingua cannot control. You also acknowledge that all sales are final.

2. Code of Conduct for Conversation Portions

LuxeLingua is committed to providing a safe, respectful, and professional learning environment for all users. During conversation portions of our courses, which include live sessions, group discussions, or any interactive components, you are expected to adhere to the following behavioral standards:

Prohibited Language and Actions: The use of profanity, offensive language, or derogatory remarks is strictly prohibited. You may not threaten harm, engage in harassment, or display any form of discriminatory behavior toward instructors, other learners, or any individual.
No Pornography: The sharing, display, or discussion of pornographic content in any format (including but not limited to images, videos, text, or links) is strictly forbidden.
Respectful Interaction: All participants are expected to engage in respectful, constructive, and appropriate communication at all times.

Enforcement: LuxeLingua reserves the right to monitor interactions and content shared during conversation portions. Violation of these standards may result in immediate removal from the session, suspension, or termination of your account, at LuxeLingua’s sole discretion, with no refund provided for any fees paid.

3. Termination of Service

LuxeLingua reserves the right to suspend or terminate your access to the Service at any time, for any reason, with or without notice, at our sole discretion. This includes, but is not limited to, violations of the Code of Conduct, these Terms, or any other policies outlined by LuxeLingua. If your account is terminated due to a violation of our policies, you will not be entitled to a refund for any fees paid, including subscription fees, course fees, or material purchases.

4. No Refunds for Missed Appointments When Applicable. (Appointment are not currently available, but may be in the future).

LuxeLingua operates on a scheduled and unscheduled appointment basis for lessons, tutoring sessions, and other interactive components. Please note the following refund policy regarding missed appointments:

Missed Appointments: No refunds or credits will be issued for missed appointments, whether scheduled or unscheduled. It is your responsibility to attend all booked sessions or reschedule within the allowed timeframe as per our scheduling policies.
Cancellations: If you cancel a session outside of the permitted cancellation window (as outlined in our scheduling policy), no refund or credit will be provided.

We encourage you to manage your schedule carefully to ensure you can attend all booked sessions.

5. Intellectual Property and Restrictions on Use

All content and materials available on the LuxeLingua website, including but not limited to lesson plans, videos, worksheets, audio files, and any other educational resources (collectively, the “Materials”), are the exclusive property of LuxeLingua. These Materials are protected by copyright, trademark, and other intellectual property laws.

Prohibited Actions: You may not copy, reproduce, distribute, modify, or create derivative works from the Materials for any purpose outside of your personal use within the Service. Unauthorized sharing, redistribution, or use of the Materials for commercial or non-commercial purposes is strictly prohibited. Tutorials are not downloadable and can only be used while on the site.
Legal Recourse: Any unauthorized use of the Materials, including copying or redistributing them outside of the LuxeLingua platform, may result in legal action, including but not limited to claims for damages and injunctive relief. LuxeLingua reserves the right to pursue all available legal remedies to protect its intellectual property.

By using the Service, you agree to use the Materials solely for your personal educational purposes as intended by LuxeLingua.

6. Single-User License for Purchased Materials

All purchases of Materials through LuxeLingua, including but not limited to course packages, downloadable resources, or subscriptions, are subject to the following terms:

Single-User License: Unless explicitly stated as part of a Business Package offered to businesses, all purchased Materials are licensed for use by a single user only. Sharing access to your account, Materials, or login credentials with others is strictly prohibited.
Account Sharing: It is against these Terms to allow anyone else to use your LuxeLingua account. Each account is intended for individual use, and sharing accounts undermines the integrity of our Service.
Business Packages: Business Packages are designed for multiple users within an organization and are the only exception to the single-user license. These packages are subject to separate terms outlined at the time of purchase.

Violation of this section may result in suspension or termination of your account, with no refund provided, and LuxeLingua reserves the right to take legal action if necessary.

7. Payment and Subscription Terms

Payment: All fees for courses, subscriptions, or Materials must be paid in advance through the payment methods accepted by LuxeLingua. You are responsible for ensuring that your payment information is accurate and up-to-date.
Subscriptions: If you subscribe to a recurring plan, you will be charged automatically at the beginning of each billing cycle until you cancel your subscription. Cancellation must be completed before the next billing cycle to avoid charges.
No Refunds: Except as required by law, all payments are non-refundable, including in cases of missed appointments when applicable, account termination due to policy violations, or voluntary cancellation of services.
Taxes: Until nexus is reached for service areas, no taxes will be collected on your subscription. Once nexus has been reached in your service area, applicable taxes will be applied. It is your responsibility to pay any taxes in your area that your area (local, state, country) requires, should any be. International service has a tax applied at the time of sale. We are not available in every country at this time. We apologize for any inconvenience this may cause you.

8. User Responsibilities

You are responsible for:

Providing accurate and complete information during account registration.
Maintaining the confidentiality of your account credentials and notifying LuxeLingua immediately of any unauthorized use of your account.
Ensuring that your use of the Service complies with all applicable laws and regulations.

9. Limitation of Liability

To the fullest extent permitted by law, LuxeLingua, its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Service. This includes, but is not limited to, damages for loss of profits, data, or other intangible losses, even if LuxeLingua has been advised of the possibility of such damages.

10. Disclaimer of Warranties

The Service is provided on an “as-is” and “as-available” basis. LuxeLingua makes no warranties, express or implied, regarding the Service, including but not limited to its availability, accuracy, or fitness for a particular purpose. We do not guarantee that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New Hampshire, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration in New Hampshire, in accordance with the rules of the American Arbitration Association. You agree to waive any right to a jury trial or to participate in a class action.

13. Miscellaneous

Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Entire Agreement: These Terms, along with any other policies referenced herein (e.g., Privacy Policy), constitute the entire agreement between you and LuxeLingua regarding your use of the Service.
No Waiver: Failure by LuxeLingua to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
